Additional: Consultations, audits, custom strategies.
Services are custom; no guarantees of specific results (e.g., #1 Google rank) due to external factors like algorithms. We deliver via email, client portal, or tools like Google Drive.
User Accounts & Responsibilities
Accounts: Required for retainers/projects. Secure your login—share credentials, and you’re liable.
Usage: Use services ethically; no illegal/spam activities. Provide accurate info.
Feedback: Respond to revision requests within 48 hours, or timelines extend.
Prohibited: Reverse-engineering, scraping, reselling our services/IP without permission.
Payments & Billing
Quotes: Custom, in PKR/USD. Valid 30 days.
Methods: Bank transfer, EasyPaisa, JazzCash, Stripe (international). All fees yours.
Timing:
Service Type Payment Terms Projects 50% upfront, 50% on completion/milestones Retainers Monthly, due on 1st (net 15 days) Hourly Prepaid blocks (PKR 5,000/hr) Late Fees: 1.5%/month after 15 days. Suspension after 30 days.
Taxes: You’re responsible for applicable taxes/VAT.
Intellectual Property
Our IP: Pre-existing tools, frameworks, methodologies remain ours. You get license for deliverables.
Your IP: You grant us rights to use your provided content/logos for services.
Deliverables: Upon full payment, you own final designs/content (non-exclusive license to us for portfolio/case studies—opt-out available).
Trademarks: No rights transferred unless specified.
Client Responsibilities
To ensure success:
Provide timely access (e.g., Google Analytics, hosting logins).
Supply assets (logos, content) in requested formats.
Approve milestones within 3 business days.
Comply with platform policies (e.g., Google Ads rules).
No changes to live campaigns without our approval.
Failure delays timelines no extensions on deadlines.
Cancellation & Termination
By You:
Service Notice Effects Projects Before next milestone Per Refund Policy Retainers 30 days written Final bill + handover By Us: For non-payment (7 days notice), breach (immediate), or force majeure (e.g., pandemics).
Effects: Immediate stop; payment due for work done; assets transferred post-settlement.
Refunds (Summary)
See full Refund Policy. Key: Undelivered services fully refundable; delivered digital work non-refundable but exchangeable/optimizable.
Limitations of Liability
To the max allowed by law:
No Consequential Damages: No liability for lost profits, indirect damages.
Cap: Total liability = fees paid in last 12 months.
Service Limits: Results vary; no guarantees against competitors/third-party changes (e.g., Google updates).
Availability: Site/services “as is”—may have downtime.
Indemnification
You agree to defend/indemnify us against claims from your: misuse of services, IP infringement (your materials), breach of Terms, or illegal activities. We cover you for our negligence/gross misconduct.
Confidentiality
Both parties protect non-public info (strategies, client data) for 3 years post-term. Exceptions: Legal requirements, public domain, prior knowledge.
Dispute Resolution
Informal: Notify in writing—resolve in 30 days.
Mediation: Lahore Arbitration Center (U.S. clients); neutral for international.
Arbitration: Binding, single arbitrator under U.S. law.
No Class Actions: Individual basis only.
Costs: Prevailing party recovers fees.
Governing Law
U.S law applies. International clients: No foreign law overrides unless mandatory.
Changes to Terms
Updates posted here with “Last Updated” date—effective immediately. Material changes: 14-day email notice. Continued use = acceptance.
